EditorSYNC — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Compass Studios LLC, a Delaware limited liability company that operates the EditorSYNC platform ("EditorSYNC," "Compass Studios," "we," "us," or "our"). They govern your access to and use of the EditorSYNC website, applications, and related services (collectively, the "Service").
By creating an account or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service.
If you are between 13 and 17 years old, you may use the Service only with the involvement, supervision, and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service in that case, you represent that your parent or guardian has reviewed and agreed to these Terms.
The Service is not directed to, and not available to, children under 13. We do not knowingly allow anyone under 13 to create an account or provide us with personal information. If we learn that we have collected personal information from a child under 13, we will delete it. (See our Privacy Policy for more.)
By using the Service, you represent that you have the legal capacity to enter into these Terms (or that a parent/guardian has done so on your behalf) and that your use complies with all applicable laws.
2. Your Account
To use most features, you must create an account. You agree to:
- Provide accurate, current, and complete information;
- Keep your login credentials confidential and secure;
- Be responsible for all activity that occurs under your account; and
- Notify us promptly at support@editorsync.com of any unauthorized use.
You are responsible for the actions of anyone you invite into your workspace or projects (such as editors, collaborators, or clients), and for ensuring they comply with these Terms.
3. The Service
EditorSYNC is a workflow platform that helps content creators and their editors collaborate — including project pipelines, file and link sharing, messaging, a video review workspace, and related tools.
3.1 Beta Status
The Service is currently offered as a free beta (including the "Founding Member" program). Beta means the Service is still under active development. We may add, change, suspend, or remove features at any time, and the Service may contain bugs, errors, or interruptions. We provide the beta "as is" and make no guarantee of availability, uptime, or data preservation during the beta period. We recommend you keep independent backups of any important content.
3.2 Founding Member Program
If you join as a Founding Member, you receive access to current features at no charge during the beta. Any pricing benefits we describe to Founding Members are subject to the specific terms communicated to you at sign-up and may be modified for legal or business reasons with reasonable notice.
4. Your Content and Ownership
4.1 You Own Your Content
As between you and EditorSYNC, you and your collaborators retain all ownership rights in the content you create, upload, link, or share through the Service — including your videos, video links, comments, notes, project files, messages, and other materials ("User Content"). We do not claim ownership of your User Content.
4.2 License to Operate the Service
To provide the Service, you grant Compass Studios a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and process your User Content solely for the purpose of operating, maintaining, securing, and improving the Service for you and the collaborators you share it with. This license ends when you delete the relevant User Content or close your account, except where retention is required by law or for the limited period needed to complete deletion from our systems and backups.
4.3 Your Responsibilities for Content
You represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to your User Content and to grant the license above;
- Your User Content, and our processing of it as permitted here, does not infringe or violate the rights of any third party or any law; and
- Any third-party content you connect to the Service (for example, videos hosted on YouTube, Google Drive, or Frame.io) is used in accordance with the terms of those platforms.
You are solely responsible for your User Content and the consequences of sharing it.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload, share, or link to content that is infringing, defamatory, harassing, abusive, sexually exploitative (especially involving minors), hateful, or otherwise objectionable;
- Infringe anyone's intellectual property, privacy, or publicity rights;
- Upload malware or any code intended to disrupt, damage, or gain unauthorized access to any system or data;
- Attempt to access accounts, workspaces, data, or areas of the Service you are not authorized to access;
- Reverse engineer, scrape, or use automated means to extract data from the Service except as expressly permitted;
- Resell, sublicense, or commercially exploit the Service without our written permission; or
- Interfere with the security or proper functioning of the Service.
We may investigate and take appropriate action — including removing content and suspending or terminating accounts — for any violation of this section.
6. Third-Party Services and Integrations
The Service integrates with third-party services, including Google and YouTube, Google Drive, Frame.io, and (in the future) payment processors such as Stripe. Your use of those services is governed by their terms and privacy policies, not ours, and we are not responsible for them.
If you connect a Google or YouTube account, your use of those features must also comply with the YouTube Terms of Service and the Google Privacy Policy. EditorSYNC's use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.
7. Our Intellectual Property
The Service — including its software, design, text, graphics, logos, and the "EditorSYNC" and "Compass Studios" names and marks — is owned by Compass Studios or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our names, logos, or branding without our prior written permission.
8. Fees and Payments
The Service is currently free during beta. If and when we introduce paid plans:
- Pricing, billing cycles, and plan features will be presented to you before you are charged;
- You authorize us and our payment processor to charge your selected payment method;
- Fees are non-refundable except as required by law or as expressly stated at the time of purchase; and
- Founding Member pricing commitments, if any, will be honored as described to you at sign-up.
We will provide reasonable notice before any new charges apply to your account.
9. Termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content will be preserved or accurate. You use the Service at your own risk.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPASS STUDIOS AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR CONTENT, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Compass Studios and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to any mandatory consumer-protection rights you may have under the laws of your home jurisdiction (including, for California residents, California law), you agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or notifying you in the app). Your continued use of the Service after changes take effect means you accept the updated Terms.
15. General
- Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No Waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
